Clean Beauty Labs
Effective Date: December 10th, 2025
These Terms of Service (“Terms”) constitute a binding legal agreement between the Client (“Client,” “you,” or “your”) and Clean Beauty Labs, LLC (“Clean Beauty Labs,” “we,” “us,” or “our”). By accessing the Clean Beauty Labs website (“Website”), placing an order, or using any Clean Beauty Labs service, you acknowledge and agree to these Terms.
If you do not agree to these Terms, you must not use the Website or engage our services.
0. Ownership and Affiliated Entities
Clean Beauty Labs, LLC is wholly owned by Pauly Inc., a multi-brand holding company. By using the Website or engaging any Clean Beauty Labs services, the Client expressly acknowledges and agrees that:
• Pauly Inc.,
• Its subsidiaries, divisions, and affiliated companies, including but not limited to The Formulary,
• Any future affiliated brands or operational entities under Pauly Inc.,
may access, share, process, store, and use Client information provided to Clean Beauty Labs for internal business purposes. These purposes may include but are not limited to:
• Order processing and fulfillment
• Manufacturing operations
• Customer service and communications
• Account management and administrative needs
• Quality assurance and compliance
• Internal analytics, forecasting, and operational improvements
• Cross-brand support within the Pauly Inc. portfolio
Pauly Inc. and its affiliated companies will not sell Client data to unrelated third parties but may internally share information as necessary to conduct business, improve services, or support any function related to Clean Beauty Labs’ operations.
By using our services, the Client consents to this internal cross-company information use.
1. Description of Services
Clean Beauty Labs provides private-label and white-label cosmetic manufacturing services, including but not limited to formula production, filling, packaging procurement, artwork integration, label printing, and order fulfillment. All products are custom-made and produced exclusively according to the Client’s specifications.
Clean Beauty Labs may modify or discontinue any service at any time without liability.
2. Eligibility and Business Use
By using our services, the Client represents and warrants that:
• The Client is at least 18 years old
• The Client is purchasing for legitimate business or commercial use
• The Client has full authority to bind the purchasing entity
Clean Beauty Labs does not produce unbranded or personal-use consumer products.
3. Orders and Acceptance
All purchase orders must be approved by Clean Beauty Labs before production begins. Clean Beauty Labs reserves the right, at its sole discretion, to reject, modify, or cancel any order due to feasibility, supply limitations, compliance concerns, or internal policy requirements.
Clean Beauty Labs is not responsible for any delays, financial loss, or damages resulting from order adjustments or rejections.
4. Minimum Order Quantities (MOQs)
All private-label and white-label products are subject to minimum order quantities established by Clean Beauty Labs. Standard MOQs range from 100 to 500 units but may increase based on packaging, formulations, components, or supplier requirements.
MOQs are non-negotiable once materials have been procured.
5. Client Responsibilities
The Client is solely responsible for providing:
• Accurate artwork, label content, and branding materials
• Ingredient lists or claims they wish to include
• Any regulatory text required for their intended markets
• Final approval on all proofs, mockups, and specifications
Clean Beauty Labs shall not be liable for any errors, omissions, misrepresentations, or legal violations contained in Client-submitted materials.
6. Artwork, Labeling, and Customization Approvals
Once the Client provides written approval of artwork, labels, packaging layouts, or product specifications, the Client assumes full liability for the accuracy and legality of the approved materials.
Clean Beauty Labs bears no responsibility for:
• Spelling or grammatical errors
• Ingredient or claim inaccuracies
• Design layout issues
• Color variations
• Regulatory noncompliance
All approved materials become final and cannot be modified without incurring additional charges.
7. Intellectual Property
All formulas, processes, manufacturing methods, documentation, production templates, and proprietary knowledge created or used by Clean Beauty Labs remain the exclusive intellectual property of Clean Beauty Labs.
Nothing in these Terms grants the Client rights to Clean Beauty Labs’ formulas or processes unless expressly stated in a separate written agreement signed by Clean Beauty Labs.
Client trademarks, logos, and branding remain the property of the Client, and the Client grants Clean Beauty Labs a limited license to use such assets solely for production and fulfillment.
8. Pricing, Payment Terms, and Fees
All pricing is subject to change without notice. Clean Beauty Labs may adjust pricing due to supplier increases, material shortages, market fluctuations, or labor cost changes.
• Payment is required in full before production begins.
• Unpaid balances may delay production and fulfillment.
• Late payments may incur additional fees.
• Clean Beauty Labs is not required to release or deliver goods until all outstanding balances are paid in full.
9. All Sales Final — No Returns, Refunds, or Cancellations
Due to the custom-made nature of private-label and white-label products, all orders are final sale.
The Client expressly agrees that:
• No refunds will be issued once materials are purchased or production begins
• Orders cannot be canceled once procurement or production has started
• Dissatisfaction with aesthetic preferences or subjective outcomes does not constitute grounds for a refund
• Clean Beauty Labs does not accept returns of any kind
10. Quality Concerns and Defects
If the Client believes a manufacturing defect exists, the Client must notify Clean Beauty Labs within seventy-two (72) hours of delivery with detailed photos or videos.
If a defect is verified, Clean Beauty Labs may, at its sole discretion:
• Repair affected units
• Replace affected units
• Reproduce affected units
This is the Client’s exclusive remedy.
Failure to report within 72 hours constitutes full acceptance.
11. Shipping, Delivery, and Risk of Loss
All shipments use third-party carriers. Risk of loss transfers to the Client upon carrier pickup.
Clean Beauty Labs is not liable for:
• Carrier delays, errors, or lost packages
• Damaged shipments caused by carriers
• Delays outside our control
Shipping timelines are estimates, not guarantees.
12. Regulatory Compliance
The Client is responsible for ensuring their products comply with all applicable labeling, cosmetic, ingredient, and marketing regulations. Clean Beauty Labs does not provide legal compliance guarantees.
13. Limitation of Liability
Clean Beauty Labs shall not be liable for:
• Indirect, punitive, incidental, or consequential damages
• Lost profits
• Delays caused by suppliers, carriers, or third parties
• Client labeling or marketing errors
• Misuse or misrepresentation of products
Total liability shall not exceed the amount paid for the specific order.
14. No Warranties
All products and services are provided “as is.” No warranties, express or implied, are made.
15. Indemnification
The Client agrees to indemnify, defend, and hold harmless Clean Beauty Labs, Pauly Inc., and all affiliated companies (including The Formulary) from any claims arising from:
• Misuse of products
• Labeling or marketing by the Client
• Regulatory violations
• Intellectual property misuse
• Client’s resale or distribution of goods
This obligation survives termination.
16. Governing Law and Jurisdiction
These Terms are governed by the laws of South Carolina. All disputes shall be resolved exclusively in Charleston County, SC.
17. Amendments
Clean Beauty Labs may modify these Terms at any time. Continued use of the Website indicates acceptance of updated Terms.
